Acting as Company Secretary
The services of a Company Secretary often need to go far beyond carrying out the annual filing obligations imposed by the Companies Act and advising on the procedures required when undertaking changes to the Board, company structure or Articles of Association. As well as providing these basic services, we can work closely with your Chairman to ensure your Board and shareholder meetings will be serviced to the highest standards. On request or when we think there are relevant topics we can advise your board on, reports and presentations can be provided. If your company is listed, we will liaise with your company’s registrar and other advisers to ensure compliance with the relevant listing rules and continuing obligations and to ensure your AGM runs smoothly.
With an issue as complex and ever-changing as corporate governance, Directors and Company Secretaries can find it increasingly difficult to keep up with current developments and the changes they require. As well as providing you with advice on new requirements, your existing corporate governance practices and constitutional documents can be reviewed and advice provided on areas which might be improved. We can also assist you to implement changes to your corporate governance arrangements.
A Board’s effectiveness is key to a company’s success. Evaluating the performance of a Board to identify strengths and weaknesses both as a team and as individuals can be a helpful exercise. Many Boards feel more comfortable having the evaluation carried out by a “neutral” third party. We can either carry out performance evaluations or, alternatively, help to establish a process for evaluations to be done in-house.
Whether your group is made up of just a handful of companies or many hundred subsidiaries, there is often huge scope to reduce annual costs by dissolving those companies which no longer serve a useful purpose.
